E-2 Visa Eligibility Requirements

The E-2 visa is available to nationals of countries that hold a qualifying treaty of commerce and navigation with the United States. The investor’s business must also reflect that treaty nationality, generally through at least 50 percent ownership by nationals of the same treaty country. Below are the core eligibility standards every E-2 case must satisfy.

Substantial, at-risk investment: There’s no fixed dollar minimum. The investment must be substantial relative to the total cost of the enterprise, and funds must be irrevocably committed and genuinely at risk of partial or total loss. Loans secured by the business assets being acquired generally don’t count.
Bona fide enterprise: The business must be real, active, and operational, not a passive holding structure or paper company created solely to obtain a visa.
Marginality standard: The enterprise must have the present or future capacity to generate more than a minimal living for the investor and family, or to make a meaningful economic contribution through job creation or other measurable impact.
Active direction and development: The investor must come to the United States to develop and direct the business, demonstrated through at least 50 percent ownership or a managerial or policy-making role. Purely passive investments don’t qualify.

E-2 Derivative Status for Spouses & Children

The E-2 visa extends benefits to the principal investor’s immediate family. Spouses may receive work authorization as part of their E-2 derivative status, allowing them to accept employment with any employer, not just the investor’s business. Unmarried children under 21 may also qualify for derivative status, permitting them to live and attend school in the United States, though that status doesn’t include work authorization for children.

Derivative status requires separate filings and supporting documentation and remains tied to the principal investor’s status. One important planning consideration: E-2 status doesn’t provide a direct path to a green card.
